Crovalt Shop OS — Crovalt, LLC
These Terms and Conditions ("T&C") govern your use of the Crovalt Shop OS platform (the "Service") provided by Crovalt, LLC ("Crovalt," "we," "us," or "our"). These T&C are supplementary to and should be read in conjunction with our Terms of Service, Privacy Policy, and Data Policy.
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
1. Acceptable Use
1.1. Permitted Use
The Service is designed for use by automotive repair shops, service centers, and related businesses for the purpose of managing shop operations, including but not limited to scheduling, customer management, repair order tracking, invoicing, and AI-assisted diagnostics.
1.2. Prohibited Conduct
You agree not to:
- (a) Use the Service for any purpose other than legitimate automotive shop management operations;
- (b) Upload, transmit, or store any content that is unlawful, defamatory, obscene, fraudulent, or otherwise objectionable;
- (c) Use the Service to collect, store, or process data in violation of applicable data protection or privacy laws;
- (d) Share your account credentials with unauthorized individuals or allow multiple users to access the Service under a single-user license;
- (e) Attempt to probe, scan, or test the vulnerability of the Service or any related system or network;
- (f) Use any automated means (bots, scrapers, crawlers) to access the Service except through approved APIs;
- (g) Interfere with or disrupt the integrity or performance of the Service or the data contained therein;
- (h) Use the AI Diagnostics feature to provide diagnostic services for purposes outside the scope of automotive repair (e.g., using diagnostic outputs for insurance fraud, litigation support without proper context, or misrepresenting AI suggestions as certified assessments);
- (i) Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- (j) Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.
1.3. Enforcement
Crovalt reserves the right to investigate and take appropriate action against any user who, in our sole discretion, violates these acceptable use provisions. Actions may include issuing a warning, suspending access, or terminating your account.
2. Account Responsibilities
2.1. Account Administrator
The individual who creates the account (the "Account Administrator") is responsible for managing user access, permissions, and account settings. The Account Administrator is authorized to add, remove, and manage user accounts within the organization's subscription.
2.2. User Accounts
Each individual accessing the Service must have their own user account. Sharing of login credentials is prohibited. The Account Administrator is responsible for ensuring that all authorized users comply with these T&C.
2.3. Account Security
You are responsible for:
- Maintaining the confidentiality of all account credentials;
- Implementing appropriate access controls within your organization;
- Promptly notifying Crovalt of any unauthorized access or security breach;
- Ensuring that former employees or personnel are promptly removed from the account.
2.4. Accuracy of Information
You agree to provide and maintain accurate, current, and complete account information. Crovalt may suspend or terminate accounts that contain materially inaccurate information.
3. Subscription and Billing Terms
3.1. Subscription Plans
The Service is available through various subscription plans as described on our website. Each plan specifies the features, user limits, and pricing applicable to that tier.
3.2. Free Trials
If Crovalt offers a free trial period, you may use the Service without charge for the duration of the trial. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires. Crovalt reserves the right to limit free trial availability and to modify trial terms.
3.3. Billing and Payment
- (a) Billing Frequency. Subscriptions are billed monthly or annually in advance, depending on the plan selected.
- (b) Payment Method. All payments are processed through Stripe. You authorize Crovalt to charge your payment method on file for all applicable fees.
- (c) Invoices. Invoices are generated automatically and available in your account settings.
- (d) Late Payments. Accounts with overdue balances may be subject to suspension after a fifteen (15) day grace period. Crovalt reserves the right to charge interest on overdue amounts at the lesser of 1.5% per month or the maximum rate permitted by law.
3.4. Plan Changes
- (a) Upgrades. You may upgrade your subscription plan at any time. Upgrades take effect immediately, and a prorated charge will be applied for the remainder of the current billing cycle.
- (b) Downgrades. You may downgrade your subscription plan at any time. Downgrades take effect at the start of the next billing cycle. Access to features not included in the lower-tier plan will be removed at that time.
3.5. Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Service through the end of the paid period. No partial refunds are issued for unused portions of a billing cycle.
4. No Refund Policy
4.1. All Sales Final
All subscription fees are non-refundable. This applies to both monthly and annual plans. By subscribing, you acknowledge and agree that no refunds will be issued for any unused portion of a billing period or subscription term.
4.2. Billing Errors
If you are charged in error (e.g., duplicate charges, incorrect amounts), Crovalt will issue a correction upon verification. Billing error disputes must be submitted in writing to billing@crovalt.com within thirty (30) days of the charge.
4.3. Service Outage Credits
If the Service experiences a material outage exceeding seventy-two (72) consecutive hours due to causes within Crovalt's control, you may request a prorated account credit for the affected period. Credits are applied to future billing cycles and are non-transferable and non-redeemable for cash.
5. Liability Limitations
5.1. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CROVALT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS, THE SERVICE, OR ANY RELATED CLAIMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO CROVALT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
5.2. Exclusion of Consequential Damages
IN NO EVENT SHALL CROVALT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunity;
- Loss of data or data corruption;
- Business interruption or downtime;
- Cost of procurement of substitute services;
- Loss of goodwill or reputation;
WHETHER ARISING FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CROVALT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
5.3. Service Availability
Crovalt endeavors to maintain high availability of the Service but does not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Crovalt shall not be liable for any loss or damage resulting from Service downtime.
5.4. Third-Party Services
The Service may integrate with or contain links to third-party services (e.g., Stripe, parts catalogs, diagnostic databases). Crovalt is not responsible for the availability, accuracy, or content of third-party services and shall not be liable for any loss or damage arising from your use of such services.
6. AI Diagnostic Liability Disclaimer
6.1. Information Only
The AI Diagnostics feature of the Service provides ranked suggestions, probability assessments, and data-driven recommendations. These outputs are informational only and are not a substitute for the professional judgment of a qualified automotive technician.
6.2. No Liability for Repair Decisions
Crovalt is not liable for any repair, maintenance, or service decisions made by you, your employees, or your contractors, whether or not such decisions were informed by AI Diagnostic outputs. The AI provides information to assist human technicians — it does not make decisions, authorize repairs, or replace professional expertise.
6.3. Assumption of Risk
By using the AI Diagnostics feature, you acknowledge and accept that:
- (a) AI outputs are probabilistic and may be incomplete or incorrect;
- (b) AI suggestions should be verified through independent professional assessment before any action is taken;
- (c) The human technician bears sole responsibility for interpreting AI outputs and making repair decisions;
- (d) Crovalt bears no responsibility for outcomes resulting from actions taken or not taken based on AI suggestions;
- (e) AI Diagnostics do not constitute a warranty, guarantee, or certification of any diagnosis or repair approach.
6.4. No Warranty of Fitness
CROVALT MAKES NO WARRANTY, EXPRESS OR IMPLIED, THAT AI DIAGNOSTIC OUTPUTS ARE FIT FOR ANY PARTICULAR PURPOSE, ACCURATE, COMPLETE, OR RELIABLE. THE AI DIAGNOSTICS FEATURE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND.
6.5. Indemnification
You agree to indemnify and hold harmless Crovalt from any claims, damages, or liabilities arising from repair or service decisions made using or influenced by AI Diagnostic outputs, including but not limited to claims by your customers, employees, or third parties.
7. Intellectual Property
7.1. Crovalt Property
The Service, including all software, algorithms, AI models, interfaces, content, and documentation, is the intellectual property of Crovalt, LLC and is protected by applicable intellectual property laws. Your subscription grants a limited right to use the Service — it does not transfer any ownership rights.
7.2. Feedback
If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant Crovalt a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
8. Confidentiality
8.1. Confidential Information
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties except as necessary to perform obligations under these T&C or as required by law.
8.2. Exclusions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without reference to confidential information; or (d) is disclosed pursuant to a legal requirement, provided reasonable notice is given to the disclosing party.
9. Modifications
Crovalt may modify these Terms and Conditions at any time by posting the revised version on our website and updating the "Last updated" date. Material changes will be communicated through the Service or via email. Your continued use of the Service after modifications are posted constitutes your acceptance of the updated T&C.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
11. Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
12. Entire Agreement
These Terms and Conditions, together with the Terms of Service, Privacy Policy, and Data Policy, constitute the entire agreement between you and Crovalt regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
